EquiDeFi Platform Update — April 16, 2026

Signers and UBOs are now distinct

For entity investments, stakeholders can now be explicitly marked as a signer, a UBO (ultimate beneficial owner), or both. Previously the platform treated everyone the same — but in practice, plenty of UBOs aren’t signers, and plenty of signers aren’t UBOs.

What this changes:

  • When adding stakeholders to an entity investment, investors now select the role(s) that apply
  • In the issuer portal, the KYC and Agreement status pills reflect each stakeholder’s specific role
  • Countersignature checks now gate on the correct people for KYC completion and on the correct people for signatures, rather than counting everyone in the vault

The result is a more accurate picture of where each investment stands, and fewer mismatches when stakeholders play different roles.

Audit trail for invested amount changes

Whenever the invested amount on an investment changes, the platform now records who made the change and when. This sits alongside our broader push toward better transparency on edits — and pairs nicely with the agreement audit trail shipped in the May release.

Broker-Dealer Affirmation

A new Broker-Dealer Affirmation step has been added to the investor workflow, giving issuers a cleaner way to capture the relevant attestations during onboarding.

Maximum signers and UBOs

Entity and joint investments now enforce a clear cap on the number of signers and UBOs that can be added, preventing edge cases where extra stakeholders could be added beyond what the workflow supports.

Reg S and Reg A: Additional Info gating

For Reg S and Reg A offerings where Additional Info is disabled, the questionnaire fields are now correctly hidden in the issuer portal — keeping the Investor Data view clean and consistent with what was actually collected. When Additional Info is enabled, all expected questionnaire fields remain visible.

DocuSeal is now the standard

We’ve completed the archival of Dropbox Sign agreements as part of our move to DocuSeal as the standard e-signature provider. All new agreements are issued through DocuSeal, with consistent handling for signers across the cancel, void, and reissue flows.

Copy refinements

  • The SSN input now reads “Please enter your SSN, Tax ID or Government Issued ID Number” to better reflect what’s accepted.
  • Every instance of “broker dealer” across the investor, issuer, and admin portals has been updated to the correctly hyphenated “broker-dealer.”

Bug fixes and small improvements

This release also includes a substantial wave of fixes and refinements:

  • Smoother investor workflow, especially around entity and joint investments, additional signers, and KYC reissues
  • More reliable KYB behavior and clearer states across the KYC tab
  • Cleaner messaging and validation throughout both portals
  • Accurate payment and investment amount handling, including custom unit names, suggested amounts, and crypto edge cases
  • Polish touches to the issuer portal, including the Investments page, exports, and tranche views

These roll out automatically — no action required.
